Fundamentals is a power systems technology specialist, delivering innovative solutions which improve the health and performance of the national grid. Find out how we helped them divest part of its business.
Based in the UK and Australia, Fundamentals has built on its origins as an innovator in Automatic Voltage Regulation (AVR) products, together with its expertise in tapchangers and fault monitoring, to develop new products and services for better grid management. The company has also developed dedicated service teams to deliver problem-solving solutions for customers in all sectors of the electricity industry.
As part of its strategy for continued growth, Fundamentals’ management team wanted to focus more on its product offering. To achieve this, it decided to divest its HV Services division and find it a new home.
We advised Fundamentals’ management team on a disposal process strategy that would meet the requirements of all stakeholders.
We prepared an Information Memorandum (IM) and identified suitable buyers in a discrete and targeted manner. We ran a tightly controlled sale process and led negotiations with potential parties.
We assessed all offers and worked closely with the legal team at Roxburgh Milkins to ensure the deal came to a successful completion.
Through our support and strategic guidance, we helped Fundamentals’ management team plan the trade sale and marketed its HV Services division to suitable UK trade buyers. With a great deal of sensitivity, we negotiated a deal that saw the business acquired by Freedom Group (part of NG Bailey) meeting all stakeholders requirements.
"
