Baltimore Consulting was founded in 2013 as a standalone business within Opus Talent Solutions to provide senior and specialist candidates to Local Government, NHS and Third Sector clients. From inception, the business was grown and developed by MD, Charmaine Vincent, and by 2017 Baltimore Consulting had achieved a strong market presence with revenues of £10m.
Opus Talent Solutions had been accelerating into the technology sector and wanted to further focus in this sector. With the strategies of the two companies continuing to diverge, the time was right for Baltimore to continue to grow independently and establish itself as a market leader through a management buyout.
We were delighted to bring to market a brand-new financial product from Caple and BNP Paribas Asset Management that delivered 100% of the acquisition finance on a six year unsecured loan, which was coupled with an invoice finance line from HSBC.
We brokered the deal between management and the vendor, and explored in detail a range of debt, equity and vendor backed options before securing the final deal that saw management retain 100% of the share capital.
To support the transaction, Shaw & Co worked closely with management to build a robust business plan and financial model that underpinned the financial investment.
